We are seeking qualified candidates for a Senior Corporate Counsel opportunity at our Corporate Headquarters in Glen Allen, Virginia.  The Senior Corporate Counsel will support the Law Department with respect to corporate and commercial transactional matters, securities matters and SEC / NYSE compliance, corporate governance and corporate secretary matters, Company policy compliance matters, Law Department initiatives and projects, and will have supervision and management of lawyers and non-lawyers.

Responsibilities of the position include: 

  • Oversee the preparation, negotiation, and documentation of routine and complex corporate and commercial transactions, working closely with sales, marketing, and corporate development teams
  • Support compliance with NYSE listing standards and SEC rules and regulations, including periodic SEC reporting (10-K, 10-Q, 8-K), Section 16 reporting, and other SEC compliance matters
  • Support proxy statement preparation and related annual meeting matters
  • Support corporate governance and corporate secretary matters, including preparation of Board / Committee materials and maintenance of the books and records of the parent company and all subsidiaries (domestic and international)
  • Oversee corporate law aspects of the administration of director and employee equity compensation programs
  • Oversee the execution and administration of corporate compliance programs and related compliance training
  • Manage and supervise external legal counsel, junior in-house counsel, and non-attorney Law Department staff

Requirements of the position include: 

  • JD degree
  • Admitted to practice in Virginia (or eligible for admission in VA)
  • 7 – 12 years’ sophisticated corporate, transactional and commercial legal experience, with experience as a senior associate or partner at a well-recognized law firm or comparable experience in-house with a public company
  • Broad substantive legal experience, including experience in Public company corporate governance, corporate secretary matters, and SEC / NYSE reporting and compliance, including periodic SEC reporting (10-K, 10-Q, 8-K), proxy statement and annual meeting matters, Section 16 reporting, and related matters: Expertise in all aspects of business combinations, mergers, acquisitions, joint ventures and strategic partnerships, including extensive experience leading multidisciplinary teams in the evaluation, structuring, negotiation, documentation and execution of such transactions; Complex commercial contracts, including manufacturing contracts, distribution contracts, purchasing contracts, sponsorship and marketing contracts, and real property leases; Equity and debt financing transactions, including secured and unsecured credit facilities; Key elements of antitrust, environmental, employment, employee benefits and executive compensation issues; and key elements of intellectual property matters, including with respect to business combinations and commercial transactions involving the licensing or assignment of valuable patents, trade secrets, know-how, copyrights and trademarks
  • Highly polished and effective negotiation, communication, and drafting skills, including a strong ability to present complex information in a clear, concise, and actionable manner
  • Exceptional communication, organizational, teambuilding and relationship building skills, including keen listening skills, a strong ability to balance competing interests, and the ability to work collaboratively with multidisciplinary teams, across functions and with various constituencies
  • Demonstrated success as a trusted advisor, leader, catalyst, and team player, with substantial experience working with all levels of executive leadership and the business acumen, legal experience, and confidence to provide strategic business and legal counsel
  • Tactfully forceful, highly effective, and practical legal and business adviser with proven negotiation and critical thinking skills, initiative and a strong work ethic
  • Committed to continuous improvement and innovation in design and delivery of legal strategies and solutions to support business objectives
  • Exceptional communication, organizational, teambuilding and relationship building skills, including keen listening skills, a strong ability to balance competing interests, and the ability to work collaboratively with multidisciplinary teams, across functions and with various constituencies
